Deal support

Making a good deal is not always easy. So many things to take into account: how must the deal be structured, what do we wish to achieve, what do we wish to avoid, are we overlooking anything, what are the risks of this deal and how can we ensure that they are in balance with the potential revenues? And all this in the context of an multicultural international market characterized by more and more foreign and international laws and regulations to comply with.

Setting up multidisciplinary deal-teams helps you avoid the major pitfalls of international deal making. We have been supporting business development, sales and procurement deal-teams for many years and have developed a way of working that focuses on helping you define and negotiate the right deal structure and documentation, while identifying the main risks of the deal and providing contractual (and non-contractual) guidance for managing these risks. Our primary goal is to help you make the deal, not to frustrate it. Therefore, our approach is always practical and hands-on. If it can be simple, we will do it simple. And that results in to the point, transparent and concise agreements that focus on the essentials of the deal.

DPO as a service

Two simple, stylized human figures with circular heads and no facial features, set against a light purple background.

We can serve as your outsourced or extended legal team if your company needs guidance for data regulation compliance. Privacy law requires a company to designate a Data Protection Officer (“DPO”)  based upon certain conditions. For example if you are a public authority processing personal data; when your company is monitoring data subjects on a regular and systematic basis and on a large scale; or when your company’s core activity is to process special categories of data or criminal records on data subject. The job of a DPO is to advise, both by request and on its own initiative, on the legitimacy and compliance of processing personal data. Considering the independence and neutral nature of such DPO, it could be beneficial to have an external party advising on privacy challenges. We offer such services from 4 hours a month (remote), up to a number of days per week (on premise). Let us know if you want to check whether you need a DPO and if so, what the conditions could be for you to obtain such services.

Note that even if you do not require a formal DPO according to privacy law, it may be helpful to have a privacy specialist on speed dial when you are uncertain how to approach a privacy situation, or just someone who will listen in to your data related meetings to guide when necessary.  In such case, the DPO services would also be a solution.

Legal outsourcing

If you do not have the knowledge, or do not have enough time to take care of your legal affairs yourself and you do not wish to employ or expand your own legal team, outsourcing your legal affairs to us may be the solution.  We provide you with your own outsourced or extended legal team, without the disadvantages of a permanent or temporary employment. As we have all earned our stripes in acting as in- and outside legal counsel for many tech companies, we can provide you – in a flexible manner – with the best of what we have seen and experienced.  Although you will always have your own dedicated legal counsel, engaging us as your outsourced or extended legal team means access to our entire team. In other words, choosing us as your legal team means access to our joint knowledge and experience and continuity of service.

Our legal outsourcing service is provided in the manner that suits you best. If possible at a monthly fixed fee. And if a fixed fee would not be appropriate, we provide subscription and/or discount based arrangements, so that your legal costs can be controlled.

Legal training

Over the years, we have come to value to power of creating legal awareness within our clients’ organisations. Legally aware sales representatives, to give an example, offer so much more than simply winning business. They do so while balancing the revenues of the deal with its revenues, and by doing so, they minimize the chance of expensive unpleasant surprises.

We have created various training courses that help your staff navigate the legal pitfalls of their jobs. For instance, we have created a basis training that helps your staff identify the risks in your commercial agreements. Also, we provide for compliance courses in the field of data protection.

Interim services

We are also there if your company has a temporary need for legal support, for instance if your own legal counsel is temporarily unavailable or if your own legal team is confronted with a temporary increase of its work load. Our lawyers have been acting as interim lawyers for various tech companies and knowledge institutes and are known for getting to the heart of the matter quickly. As a result, they can be brought up to speed without losing valuable time.
